SEC 01 · OPERATOR & ACCEPTANCE
Operator; Acceptance of These Terms
The SKTTECH platform, made available at skttech.io and through the API endpoint https://api.skttech.io/v1 (together, the “Service”), is provided by SKTTECH PTE. LTD., a company incorporated in Singapore (“SKTTECH”, “we”, “us”, or “our”). These Terms of Service (the “Terms”) form a legally binding agreement between SKTTECH PTE. LTD. and the person or entity using the Service (“you” or the “Customer”).
By creating an account, purchasing Credits, sending a request to the API, or otherwise accessing the Service, you accept these Terms and agree to be bound by them. If you do not agree to these Terms, you must not use the Service. If you accept these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization, and “you” refers to the organization.
SEC 02 · ELIGIBILITY
Eligibility
To use the Service you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into a binding contract; (c) not have been previously suspended or removed from the Service for a breach of these Terms; and (d) not be barred from receiving the Service under the laws described in Section 21 (Export Controls and Sanctions). The Service is a developer infrastructure product and is not directed to minors; we do not offer accounts to anyone under 18. You represent that your use of the Service complies with all laws applicable to you.
SEC 03 · DEFINITIONS
Definitions
API
The programmatic interface to the Service at https://api.skttech.io/v1, including associated keys, endpoints, and documentation.
Credits
Prepaid balance purchased by you and drawn down as you use the Service, as described in Section 06.
Model Provider
A third party that operates an AI model or inference endpoint to which the Service can route requests.
Provider Terms
The terms of service, usage policies, and acceptable-use requirements published by a Model Provider that apply to the use of its models.
BYOK
“Bring Your Own Keys” — the feature that lets you route requests through your own Model Provider API keys, as described in Section 07.
Inputs
Prompts, messages, files, parameters, and other content you submit to the Service.
Outputs
Content generated by a Model Provider’s model in response to your Inputs and returned through the Service.
Customer Content
Inputs and Outputs, collectively.
Order Form
A separately executed ordering document between you and us (for example, an enterprise agreement covering invoicing, a service-level commitment, or a data processing agreement).
SEC 04 · THE SERVICE
Description of the Service
SKTTECH is an AI model routing gateway. The Service exposes a single, unified API through which your requests are routed to models operated by third-party Model Providers. Alongside routing, the Service provides platform capabilities including intelligent request routing and automatic failover, high availability, monitoring and observability, unified metering and billing, and related developer infrastructure.
The catalog of models and Model Providers reachable through the Service changes over time. We may add, remove, reconfigure, or re-route models and providers at any time, at our discretion, without prior notice and without liability to you. The Service performs inference through Model Providers; we do not train, host, or operate the underlying models ourselves.
SEC 05 · ACCOUNTS & API KEYS
Accounts and API Keys
You must register an account with accurate information, including a valid email address, and keep that information current. You are responsible for maintaining the confidentiality of your login credentials and API keys, and for all activity that occurs under them, whether or not authorized by you. Treat API keys as secrets: do not embed them in client-side code or publish them. If you believe a credential or key has been compromised, revoke it immediately and notify us at support@skttech.io.
Accounts may be individual or organizational. In an organizational account, designated administrators may manage members, API keys, spending limits, and settings on behalf of the organization, and we may rely on instructions from those administrators as authorized by the organization. The organization is responsible for the acts and omissions of its members using the account.
SEC 06 · CREDITS, FEES & PAYMENT
Credits, Fees, and Payment
The Service uses transparent usage-based pricing. Your bill is calculated from the AI inference your requests use together with the platform services we provide — routing, high availability, monitoring, billing, and developer infrastructure. Current rates for each model are published in the model catalog; rate changes apply prospectively to usage occurring after the change.
Prepaid Credits. You purchase Credits in advance and usage draws them down. There is no monthly fee and no minimum commitment.
Credits never expire. Purchased Credits remain available until used, refunded, or your account is closed, regardless of inactivity.
Processing fee. Each Credit top-up carries a processing fee of 5% of the amount credited, plus $0.35, disclosed at the time of purchase. The processing fee is non-refundable.
Only success is billed. When the Service retries a request across providers, only the successful attempt is billed; failed failover attempts cost $0.
Auto top-up. You may optionally enable automatic top-up at a threshold you set; you can change or disable it at any time in your account settings.
Payment methods. Self-serve purchases are made with major international payment cards. Enterprise customers may pay by wire transfer against invoices under an Order Form.
Refunds. You may request a refund of unused purchased Credits within fourteen (14) days of the relevant purchase by contacting support@skttech.io; amounts already consumed and processing fees are not refundable. Section 17 governs refunds on account closure and termination.
Promotional Credits. Credits we grant free of charge (for example, trial or promotional balances) are governed by the conditions stated when granted, may expire, and are always consumed before purchased Credits. Credits of any kind have no cash value outside the Service, are not a deposit or stored-value facility, and are not transferable between accounts.
Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes, levies, and duties arising from your purchases, excluding taxes on our income. Where we are required to collect tax, it will be added at checkout or on the invoice.
SEC 07 · BRING YOUR OWN KEYS
Bring Your Own Keys (BYOK)
You may connect your own Model Provider API keys and route requests through them under your own agreements with those providers. When you use BYOK: (a) your relationship with the Model Provider — including its pricing, quotas, and Provider Terms — is solely between you and that provider, and we are not a party to it; (b) the Service meters a usage-based service fee for the routing, failover, and observability we provide on BYOK traffic; and (c) you are responsible for ensuring that routing your traffic through the Service is permitted under your provider agreements.
BYOK keys are stored encrypted with AES-256, are used solely to forward your requests to the corresponding provider, and can be removed by you at any time, which immediately stops their use.
SEC 08 · MODEL PROVIDERS & INDEPENDENCE
Third-Party Model Providers; Independence
SKTTECH is an independent platform. We are not affiliated with, sponsored by, or endorsed by any Model Provider. Model and provider names appearing in the Service are trademarks of their respective owners and are used only to identify the routing targets available through the Service.
Outputs are generated by third-party models, not by us. When you use a given model through the Service, you must comply with the applicable Provider Terms, and you are responsible for reviewing them before use. Model Providers may change their models, policies, pricing, or availability at any time; we are not liable for those changes, for the suspension of your access by a provider, or for the discontinuation of any model. We do not guarantee that any particular model will remain available through the Service.
You must not use the Service to circumvent access controls, geographic restrictions, safety systems, or usage policies that a Model Provider imposes on its models.
SEC 09 · CUSTOMER CONTENT
Customer Content: Inputs and Outputs
As between you and us, you retain all rights in your Inputs, and you own the Outputs to the extent the applicable Provider Terms allow ownership rights in model-generated content to pass to you. We claim no ownership of Customer Content.
You grant us a limited, non-exclusive, non-transferable license to transmit, route, and process Customer Content transiently and in memory only, solely as necessary to provide the Service to you. This license ends when processing of the relevant request completes.
ZERO DATA RETENTION DEFAULT · Prompts and completions are never stored by the Service. Only request metadata is logged — model id, token counts, cost, latency, timestamps, API-key identifier, and routing outcome; the Privacy Policy sets out the complete enumeration, including short-lived server security logs. Customer traffic is never used to train models.
You represent and warrant that you own or have the necessary rights and permissions to submit your Inputs, and that your Customer Content and its use through the Service do not violate applicable law or third-party rights. AI-generated Outputs can be inaccurate or inappropriate for your purpose; you are responsible for evaluating Outputs before relying on them or distributing them.
SEC 10 · ACCEPTABLE USE
Acceptable Use
You may use the Service only for lawful purposes. Without limiting the foregoing, you must not:
use the Service to create, request, or distribute content that is illegal, that sexualizes or exploits minors, that facilitates violence, self-harm, or serious harm to others, or that infringes any third party’s rights;
use the Service for fraud, deception, malware development or distribution, phishing, spam, or unauthorized surveillance;
violate the Provider Terms applicable to any model you access through the Service;
create or operate multiple accounts to evade rate limits, spending controls, suspensions, or promotional restrictions;
circumvent, probe, or disable rate limits, metering, authentication, or any other technical or security control of the Service;
scrape, crawl, or bulk-harvest the Service or its website other than through the documented API;
offer raw access to the Service itself to third parties as your own stand-alone product — using the Service as infrastructure inside your own applications is expressly permitted;
sell, rent, or transfer your account or API keys to any third party; or
interfere with the integrity or performance of the Service or the data of other customers.
We may investigate suspected violations, and we may remove content, throttle traffic, suspend accounts, and report unlawful activity to authorities where appropriate.
SEC 11 · SECURITY TESTING
Security Testing and Red Teaming
Penetration testing, vulnerability scanning, adversarial evaluation of the platform, and other security research against the Service require our prior written authorization. To request authorization, email legal@skttech.io with the proposed scope, methods, timeframe, and points of contact. Requests are reviewed case by case, and we aim to respond within ten (10) business days. Any authorization applies only to the scope stated in it.
Unauthorized testing is a material breach of these Terms and grounds for immediate suspension or termination, without prejudice to any other remedies. This section governs testing of the platform; adversarial testing of a Model Provider’s models is additionally subject to that provider’s own policies.
SEC 12 · INTELLECTUAL PROPERTY
Intellectual Property; Feedback
The Service — including its software, routing technology, website, documentation, design, and the SKTTECH name and marks — is owned by SKTTECH PTE. LTD. or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business or personal purposes. You receive only the rights expressly granted in these Terms; all other rights are reserved. Nothing in these Terms transfers ownership of Customer Content to us (Section 09) or of the Service to you.
Feedback. If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback for any purpose, without restriction or compensation to you.
SEC 13 · CONFIDENTIALITY
Confidentiality
“Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential given its nature and the circumstances of disclosure. Confidential Information does not include information that is or becomes public without breach, was known to the recipient without restriction before disclosure, is independently developed without use of the discloser’s information, or is rightfully received from a third party without duty of confidentiality. Feedback under Section 12 is not Confidential Information.
Each party will use the other’s Confidential Information only in connection with the Service relationship, protect it with at least the care it uses for its own similar information (and no less than reasonable care), and disclose it only to personnel and advisers who need it and are bound by comparable obligations. A party compelled by law to disclose Confidential Information may do so, provided it gives the other party prompt notice where legally permitted and discloses only what is required.
SEC 14 · PRIVACY
Privacy and Data Protection
Our Privacy Policy describes how we handle personal data and is incorporated into these Terms by reference. In summary: the Service operates with zero data retention by default — prompts and completions are never stored; only request metadata (model id, token counts, cost, latency, timestamps, API-key identifier, and routing outcome — see the Privacy Policy for the complete enumeration) is logged; and customer traffic is never used to train models. Requests sent with the zdr:true flag are routed only to providers with verified zero-retention terms.
Enterprise and organizational customers may execute a data processing agreement (DPA) with us; contact privacy@skttech.io. If you connect third-party services to your account or applications, those services are governed by their own terms and privacy practices, and we are not responsible for how external services handle your data.
SEC 15 · AVAILABILITY & SERVICE CHANGES
Service Availability; Changes to the Service
We engineer the Service for high availability, but it is provided without a general service-level agreement, and we do not promise uninterrupted or error-free operation. Enterprise customers may obtain a service-level commitment with defined remedies under a separate Order Form. We may perform maintenance, and we may modify, add, or retire features of the Service at any time; where a change materially reduces core functionality you have paid to use, we will give reasonable advance notice where practicable.
If we discontinue the Service entirely, we will provide at least thirty (30) days’ notice and refund your unused purchased Credits.
SEC 16 · CHANGES TO THESE TERMS
Changes to These Terms
We may revise these Terms from time to time. For material changes, we will give at least thirty (30) days’ advance notice by email to your registered address or by prominent notice in the Service before the change takes effect. Non-material changes (for example, clarifications or corrections) take effect when posted, with the “Last updated” date revised accordingly. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms; if you do not agree, close your account before the effective date. The version of these Terms in effect when a claim arose governs that claim.
SEC 17 · SUSPENSION & TERMINATION
Suspension and Termination
By you. You may stop using the Service and close your account at any time through your account settings or by contacting support@skttech.io. Fees accrued before closure remain payable.
By us. We may suspend or terminate your access, with or without notice, if: (a) you materially breach these Terms, including the Acceptable Use rules in Section 10; (b) your use creates a security, legal, or operational risk to the Service, other customers, or Model Providers; (c) we are required to do so by law or by a Model Provider; or (d) amounts you owe are overdue. Where practicable, we will notify you and give you an opportunity to cure before terminating; where the risk is immediate, we may act first and notify you afterward.
Effect. On termination or closure, your API keys are deactivated and your right to use the Service ends. If you close your account in good standing, or we terminate without cause, we will refund your unused purchased Credits (promotional Credits are forfeited). To the extent permitted by law, we may withhold refunds where termination results from your material breach or fraud. Sections that by their nature should survive — including Sections 09, 12, 13, and 18 through 24 — survive termination.
SEC 18 · DISCLAIMERS
Disclaimers of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY MODEL WILL REMAIN AVAILABLE.
OUTPUTS ARE MACHINE-GENERATED BY THIRD-PARTY MODELS AND MAY BE INACCURATE, INCOMPLETE, OR UNSUITABLE FOR YOUR PURPOSE. WE MAKE NO WARRANTY REGARDING ANY OUTPUT, AND OUTPUTS ARE NOT PROFESSIONAL ADVICE OF ANY KIND. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICE AND YOUR RELIANCE ON ANY OUTPUT.
SEC 19 · LIMITATION OF LIABILITY
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM AND (ii) ONE HUNDRED US DOLLARS (USD 100).
These limitations apply regardless of the theory of liability (contract, tort, negligence, statute, or otherwise) and even if a limited remedy fails of its essential purpose. They do not exclude liability that cannot be excluded under applicable law, including liability for fraud or for death or personal injury caused by negligence. The allocation of risk in this section and Section 18 is an essential basis of the bargain between the parties and is reflected in the pricing of the Service.
SEC 20 · INDEMNIFICATION
Indemnification
You will defend, indemnify, and hold harmless SKTTECH PTE. LTD. and its officers, directors, employees, and agents from and against any third-party claims, and resulting liabilities, damages, costs, and reasonable legal fees, arising out of or relating to: (a) your Customer Content; (b) your use of the Service or of Outputs; (c) your breach of these Terms or of applicable Provider Terms; (d) your violation of law or of any third party’s rights; or (e) disputes between you and your end users.
We may, at our option and expense, assume exclusive control of the defense and settlement of any claim subject to indemnification, in which case you will cooperate reasonably with us. You may not settle any such claim in a way that imposes obligations on us without our prior written consent.
SEC 21 · EXPORT & SANCTIONS
Export Controls and Sanctions Compliance
The Service may be subject to export control and economic sanctions laws of Singapore, the United States, and other jurisdictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions, and that you are not listed on, or owned or controlled by any person listed on, any applicable denied-party or sanctions list. You must not use, export, re-export, or otherwise make available the Service, or any software or technical data received through it, in violation of these laws, and you must not use the Service for any end use prohibited by them.
SEC 22 · GOVERNING LAW & DISPUTES
Governing Law; Dispute Resolution
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of Singapore, without regard to conflict-of-laws principles.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the SIAC for the time being in force, which rules are deemed incorporated by reference into this clause. The seat of the arbitration shall be Singapore, the tribunal shall consist of one arbitrator, the language of the arbitration shall be English, and the award shall be reasoned, in writing, final, and binding on the parties.
To the extent permitted by applicable law, disputes must be brought on an individual basis only, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Notwithstanding the foregoing, either party may (a) bring an individual claim eligible for a small-claims procedure in a court or tribunal of competent jurisdiction, and (b) seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, Confidential Information, or the security of the Service.
SEC 23 · ELECTRONIC COMMUNICATIONS
Consent to Electronic Communications
You consent to receive all notices, disclosures, agreements, and other communications relating to the Service electronically, including by email to your registered address and by notices posted within the Service. Electronic communications satisfy any legal requirement that a communication be in writing. You are responsible for keeping your registered email address current; notice to that address is effective when sent.
SEC 24 · GENERAL & CONTACT
General Provisions; Contact
Entire agreement. These Terms, together with the Privacy Policy and any Order Forms, are the entire agreement between you and us regarding the Service and supersede all prior understandings. If an Order Form conflicts with these Terms, the Order Form prevails for its subject matter.
Severability; waiver. If any provision is held unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect. A failure to enforce a provision is not a waiver of it.
Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate.
Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
Relationship. The parties are independent contractors; these Terms create no partnership, agency, or joint venture.
Third-party beneficiaries. Model Providers are intended third-party beneficiaries of Sections 08 and 10 solely with respect to your obligations to comply with Provider Terms. There are no other third-party beneficiaries.
Notices. Legal notices to us must be sent to legal@skttech.io. We send notices to you as described in Section 23.
